END USER LICENSE AGREEMENT (EULA)
Houston Cancer Institute, PA ("Company"), doing business as Memorial Longevity Clinic, has developed an internal QuickBooks Online integration tool for use by authorized Company personnel.
Effective Date: March 5, 2026
1. License Grant
The Company grants authorized employees and staff a limited, non-exclusive, non-transferable license to use this internal integration tool solely for business and accounting purposes on behalf of Houston Cancer Institute, PA.
2. Permitted Use
This tool may only be used to access and manage the Company's QuickBooks Online financial data, classify transactions and manage accounts payable and receivable, generate internal financial reports, and support internal accounting and administrative functions.
3. Restrictions
Users may not use this tool for any purpose outside of authorized Company business, share access credentials or OAuth tokens with unauthorized parties, attempt to reverse engineer, modify, or redistribute any component of this integration, or use the tool to access financial data of any entity other than Houston Cancer Institute, PA.
4. Ownership
All rights, title, and interest in this integration tool remain with Houston Cancer Institute, PA. No ownership rights are transferred by this license.
5. Data Responsibility
Users are responsible for ensuring that their use of this tool complies with Company policies and applicable laws. Users must immediately report any unauthorized access or suspected security breach to management.
6. Disclaimer of Warranties
This tool is provided for internal use "as is." The Company makes no warranties, express or implied, regarding fitness for a particular purpose or uninterrupted availability.
7. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of this tool.
8. Termination
This license may be revoked at any time by the Company. Upon termination, the user must immediately cease use of the tool and any stored credentials must be revoked.
9. Governing Law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict of law provisions.
